Counsel-review status: General draft for review — contracting entity and commercial provisions require confirmation

Draft updated: 12 October 2026

These terms set out the proposed conditions for accessing the VBOOX public website and using VBOOX business software services. VBOOX helps businesses manage websites, customer information, marketing, and AI-assisted workflows, subject to the features included in their selected products.

This is a review draft and is not offered as an effective final agreement. The contracting company, contact details, effective date, governing law, and final commercial provisions must be confirmed before these terms are used for customer acceptance.

1. Your agreement with VBOOX

In the final agreement, “VBOOX”, “we”, “us”, and “our” will mean the registered company identified below. “You” means the person using the services or the business represented by that person. If you act for a business, you must have authority to enter into the agreement and manage the account on its behalf.

The final terms should be presented for acceptance when you register or place an order, together with any applicable product-specific terms. A separately signed agreement controls where it expressly varies these terms. Nothing in these terms limits rights that cannot lawfully be excluded.

2. Eligibility and account responsibilities

You must have legal capacity to enter into an agreement, provide accurate registration and billing information, and keep it up to date. Services are intended for business use. You are responsible for managing authorised users and protecting account credentials.

You are responsible for activity you authorise through your account and for assigning access appropriate to each user’s role. Notify VBOOX promptly of suspected unauthorised access. Do not share credentials in a way that bypasses access controls or allow another person to impersonate you.

3. Products, access, and availability

Available features, usage limits, support, and access periods depend on the product and offer accepted at checkout or in your order agreement. Marketing descriptions and roadmap announcements do not create an entitlement to unreleased features.

Paid access is provided after the required payment verification and fulfilment steps. Free products and trials are subject to their stated conditions. Maintenance, security incidents, and external provider outages may affect availability. A service-level commitment applies only if expressly agreed.

Preview, beta, pilot, and sandbox features may be incomplete or change. A sandbox transaction is not a real payment. Do not assume a test integration is authorised for live sending, publishing, or spending.

4. Fees, subscriptions, and renewal

The checkout or order agreement must state the applicable price, currency, taxes, billing period, usage allowance, and any additional charges. You must pay the amounts you authorise through the supported payment method. Offline payment may require evidence and verification before access is activated.

Renewal follows the terms disclosed for your subscription. Where renewal is manual, you must complete the renewal process to continue access. Automatic renewal may apply only where it is expressly offered and you have authorised the required payment arrangement. These terms do not authorise automatic charging by themselves.

Cancellation, refunds, and any grace period are subject to the applicable offer, the relevant policies, and mandatory law. Cancelling future renewal does not by itself establish a right to a refund for an elapsed service period. Any price change should be disclosed before it applies to a future purchase or renewal.

Credits and usage allowances are subject to the conditions stated for the relevant product. These general terms do not establish cash redemption, transfer rights, investment value, or guaranteed earnings.

5. Acceptable use

Use VBOOX lawfully and only for activities you have authority to carry out. Do not upload or distribute unlawful content, infringe intellectual property or privacy rights, impersonate others, mislead recipients, distribute malware, or conduct fraud.

Do not attempt to access another business’s information, bypass permissions or usage limits, compromise service security, interfere with other users, or extract information through unauthorised means. Restrictions on reverse engineering apply only to the extent permitted by law.

You must obtain required permissions and consents for collecting contact information, profiling people, sending marketing, publishing content, or connecting external accounts. Respect unsubscribe requests, suppression lists, and provider rules. AI suggestions do not authorise an action or override these obligations.

6. Your content and intellectual property

You retain the rights you hold in content and business information you provide. You grant VBOOX the limited permissions needed to host, process, transmit, display, and back up that content to deliver the services you request, subject to the agreement and applicable data protection obligations.

You must have the necessary rights to provide your content and instruct its processing. You are responsible for reviewing content before publication or distribution and for resolving claims arising from content you provide or actions you authorise.

VBOOX and its licensors retain their rights in the platform software, branding, documentation, and other materials they provide. Your subscription grants access to the selected services under the agreement; it does not transfer ownership of the platform. Rights in third-party materials remain subject to their licences.

7. AI-assisted features

AI output may be inaccurate, incomplete, biased, or similar to output generated for another user. Review and verify it before relying on it, sharing it, or using it in a business decision. AI output is not a substitute for qualified legal, medical, financial, or other professional advice.

You remain responsible for approvals and for the content and actions you authorise. AI assistance does not independently approve sending messages, publishing content, scheduling external actions, spending money, or bypassing consent requirements.

Any rights you may have in AI output are subject to applicable law, third-party rights, and the terms of the provider involved. VBOOX does not guarantee exclusivity, copyright eligibility, commercial results, or freedom from infringement for generated output.

8. Third-party services

Integrations depend on the availability, permissions, and rules of the external provider. You must be authorised to connect the account and instruct any activity performed through it. External services may have their own fees, terms, and privacy practices.

A provider may change or withdraw an API, restrict an account, or interrupt service. VBOOX may need to modify or disable an affected feature. Disconnecting an integration does not cancel your separate agreement with that provider.

9. Privacy and customer data

The Privacy Policy describes processing connected with VBOOX’s own website and service operations. Where VBOOX processes personal information on your business’s behalf, the applicable data processing agreement and documented instructions should govern that processing.

You are responsible for the lawful collection and use of information you provide, your own privacy notices, and any required consents. Do not submit sensitive or regulated information unless the selected service and applicable agreement expressly support that use.

10. Partners, referrals, and business outcomes

Buying software, creating an account, and participating in a partner or referral programme are separate choices. Any programme participation, eligibility, and compensation are subject to separate approved programme terms.

VBOOX does not guarantee sales, traffic, rankings, profit, income, commissions, or recruitment outcomes. Registration or an invitation alone does not establish an entitlement to earnings.

11. Suspension, cancellation, and account closure

Access may be restricted where reasonably necessary to address a security risk, unlawful activity, a material breach, non-payment, or a legal requirement. Where practicable and appropriate, VBOOX should provide notice and an opportunity to resolve the issue. Immediate action may be necessary to protect users or comply with law.

You may request account closure through the official support process or use the cancellation controls available for your subscription. Before access ends, arrange any export available for your product and retain copies of information you need. Export availability and post-closure access must be confirmed in the applicable product terms.

Closure does not erase outstanding lawful payment obligations or records that must be retained. Data handling after closure follows the Privacy Policy and any applicable data processing agreement. Do not assume indefinite storage or immediate deletion.

12. Warranties and responsibility

You are responsible for evaluating whether the selected services suit your business, maintaining appropriate backups, and checking the results of actions you authorise. Availability and results may depend on factors outside VBOOX’s control.

Subject to mandatory law and any express contractual commitments, VBOOX does not promise uninterrupted or error-free service or a particular business result. Statutory guarantees and remedies that cannot be excluded continue to apply.

Any financial liability cap, exclusion of losses, or indemnity must be stated expressly in the final agreement and reviewed for the applicable jurisdiction and customer type. This general draft does not impose an unconfirmed liability cap, blanket waiver, or indemnity.

13. Changes to services and these terms

Services may evolve over time. Material changes affecting a paid service should be communicated with appropriate notice and any remedies required by the applicable agreement or law.

The final terms should identify their effective date and how revised terms are communicated and accepted. Changes must not be applied retroactively to remove accrued rights. Where law requires renewed consent or acceptance, it must be obtained.

14. Governing law, disputes, and contact

Contact the confirmed legal or support channel first so a concern can be investigated. The final agreement must identify the governing law and competent courts or an expressly agreed dispute process. Mandatory consumer protections and rights to complain to competent authorities remain applicable.
